Terms & Conditions

These terms outline how we collaborate, protect your information, and deliver high-quality automation, web, and growth work with confidence.

1. Engagement & Scope

  • Projects begin once scope, deliverables, and timelines are mutually agreed in writing.
  • Any change in requirements, third-party dependencies, or scope adjustments may affect timelines and pricing.
  • We work in transparent build cycles with status updates, previews, or staging links shared throughout the engagement.

2. Client Responsibilities

  • Provide timely access to assets, credentials, and context needed to execute the project.
  • Review deliverables within the agreed feedback windows so work can continue without delays.
  • Confirm approvals or raise issues in writing to keep collaboration consistent.

3. Payments & Invoicing

  • Invoices follow the milestone or retainer schedule outlined in the proposal.
  • Late payments may pause work or affect delivery timelines.
  • All taxes, payment gateway fees, or banking charges are payable by the client unless otherwise agreed.

4. Intellectual Property

  • Upon full payment, final deliverables transfer to the client unless noted in the contract.
  • Any pre-existing tools, frameworks, or libraries developed by Agenato remain our intellectual property.
  • We may reference anonymous case studies or high-level results for portfolio purposes unless specifically restricted.

5. Confidentiality

  • Both parties agree to keep shared documents, credentials, and strategic information confidential.
  • Sensitive data is used solely for the project and never shared with external vendors without consent.

6. Warranty & Limitations

  • We deliver work that meets the agreed specifications and provide a defined support window for fixes.
  • Third-party platform changes, browser updates, or policy shifts may require additional effort outside the original scope.
  • Agenato is not liable for indirect losses, lost revenue, or damages arising from misuse or unauthorized modifications.

7. Termination

  • Either party may terminate with written notice if the other party breaches a material obligation and does not remedy it within a reasonable window.
  • All completed work up to the termination date must be paid in full.
